These Terms of Service ("Terms") form a legally binding agreement between you and Elmas Group LLC ("ArbiKey", "we", "us"), a New Mexico limited liability company with its registered address at 1209 Mountain Road Pl NE, Ste R, Albuquerque, NM 87110, USA, governing your access to and use of the ArbiKey software-as-a-service platform available at arbikey.com. By creating an account or using the service, you confirm that you have read, understood and agree to be bound by these Terms.
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an Account. By agreeing to these Terms, you represent that you meet this requirement. If you are creating an Account on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
You must provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us immediately at support@arbikey.com if you suspect unauthorised access. One Account per person or legal entity — you may not create multiple Accounts to circumvent plan limits.
Subject to your compliance with these Terms, ArbiKey grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own lawful business purposes.

Paid plans are billed in advance through Paddle, who acts as merchant of record and handles VAT in applicable jurisdictions. Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. Price changes will be communicated at least 30 days in advance.
You may cancel your Subscription at any time from within the Account settings. On cancellation, your Subscription will remain active until the end of the current paid period, after which your Account will revert to the Free plan. Cancellation does not entitle you to a refund of amounts already charged, except as described in our Refund Policy.
You retain full ownership of all Content you submit to the Service. ArbiKey claims no ownership or intellectual property rights over your business data. You grant us a limited licence to store, process, and display your Content solely for the purpose of providing the Service to you. You are responsible for ensuring that your Content does not violate any third-party rights or applicable law.
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the processing described therein.
The Service enables you to connect third-party platforms such as eBay. Your use of those platforms is governed by their own terms of service. ArbiKey is not responsible for the acts, omissions, or policies of third-party platforms. We do not guarantee the availability or accuracy of data retrieved from third-party APIs.
We aim to keep the Service available 24 hours a day, 7 days a week, but we do not guarantee uninterrupted access. We reserve the right to perform scheduled or emergency maintenance. Where possible, we will provide advance notice of planned downtime. We are not liable for losses resulting from unavailability of the Service or third-party APIs.
ArbiKey is a software tool to assist your analysis. It is not financial advice, not accounting advice, and not a substitute for professional guidance. You remain solely responsible for your business decisions. Figures depend entirely on the data you enter and on the accuracy of third-party rates and marketplace fees at the time of calculation.
To the maximum extent permitted by applicable law, ArbiKey's total cumulative liability to you for any claim arising from or related to the Service — whether in contract, tort (including negligence), or otherwise — shall not exceed the total fees you have paid us in the twelve (12) calendar months immediately preceding the event giving rise to the claim.
In no event shall ArbiKey be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or fraudulent misrepresentation.
The ArbiKey name, logo, software, and all associated intellectual property are owned by ArbiKey or its licensors. Nothing in these Terms transfers any intellectual property rights to you. Feedback or suggestions you provide may be used by us to improve the Service without obligation to you.
ArbiKey reserves the right to suspend or terminate your Account, with or without notice, if:
On termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination to allow you to request an export, after which it will be deleted in accordance with our Privacy Policy.
These Terms are governed by the laws of the European Union and, where applicable, the laws of the Republic of Turkey. If a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the competent courts in Istanbul, Turkey, without prejudice to any mandatory consumer protection rights you may have under the law of your habitual residence.
We may update these Terms from time to time. We will notify you by email at least 14 days before a material change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you may cancel your Subscription before the effective date.
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and ArbiKey with respect to the Service and supersede all prior agreements or understandings.
